Terms of Service

Please read these terms carefully. They explain the rules for using our website and how we work with clients.

1. Acceptance of Terms

These Terms of Service ("Terms") are an agreement between you and Kyntix ("Kyntix", "we", "us" or "our"), an IT services company based in Mohali, Punjab, India. They apply to your use of kyntix.tech (the "Website") and to the services we provide.

By using the Website or engaging our services, you agree to these Terms. If you're accepting them for a company, you confirm that you have authority to bind that company. If you don't agree, please don't use the Website or our services.

2. Our Services

We provide custom software and digital services, including web development, mobile app development, UI/UX design, digital marketing, and related consulting, maintenance, and support.

The Website describes our services in general terms. The exact scope, deliverables, timeline, and price for each project are agreed in writing, through a proposal, statement of work, quotation, or contract (a "Project Agreement"). If a Project Agreement conflicts with these Terms, the Project Agreement wins for that project.

3. Using Our Website

You agree not to:

  • Use the Website for anything unlawful, fraudulent, or harmful
  • Try to gain unauthorised access to the Website, its servers, or any connected systems
  • Send spam, malware, or misleading information through our contact form or other channels
  • Scrape, copy, or reuse the Website's content or design for commercial purposes without our written permission
  • Interfere with the Website's normal operation or security

Project demos and case studies on the Website are shown for illustration. They may use sample data and don't guarantee identical results for your project.

4. Client Responsibilities

To help us deliver your project on time, you agree to:

  • Give us accurate requirements, content, and feedback within reasonable timeframes
  • Provide access to the accounts, systems, and third-party services the project needs
  • Make sure you have the rights to any content, logos, images, or data you give us, and that using them won't infringe anyone else's rights or break any law
  • Name a point of contact who can make decisions and approve deliverables

Delays in feedback, approvals, or access may push back the timeline, and extra work caused by them may be charged separately.

5. Quotes, Payments & Taxes

  • Quotes are valid for 30 days unless they say otherwise, and are based on the scope described in them.
  • Payment schedules, such as advance payments and milestone payments, are set out in the Project Agreement. Unless agreed otherwise, invoices are due within 15 days.
  • Prices don't include GST or other applicable taxes, which will be added where required. International clients are responsible for their own bank and transfer charges.
  • If a payment is overdue, we may pause work, withhold deliverables, or suspend hosted services until it's paid.
  • Third-party costs such as domains, hosting, app store fees, paid plugins, APIs, and advertising spend are billed separately or paid directly by you.

6. Changes to Scope

If you ask for features or changes outside the agreed scope, we'll tell you how that affects cost and timeline before we start. Change requests go ahead once you approve them in writing (email is fine). The number of design and revision rounds included is set out in the Project Agreement.

7. Intellectual Property

Your project deliverables. Once you've paid all amounts due for a project in full, ownership of the custom work we created specifically for you, such as source code, designs, and content, transfers to you, unless the Project Agreement says otherwise. Until then, we keep ownership and you receive a limited licence to review the work.

Our pre-existing tools. We keep ownership of the frameworks, libraries, components, know-how, and tools we developed before or separately from your project. Where they're included in your deliverables, you receive a perpetual, non-exclusive licence to use them as part of that product.

Third-party and open-source components. Deliverables may include open-source or third-party software, which stays subject to its own licence terms.

Portfolio. Unless you ask us in writing not to, or a confidentiality agreement prevents it, we may mention your company name and show non-confidential parts of the work in our portfolio and marketing.

Website content. The Website, including its text, graphics, logos, and code, belongs to Kyntix or its licensors and is protected by intellectual property laws.

8. Confidentiality

Both parties agree to keep each other's confidential information, such as business plans, source code, credentials, and customer data, private, and to use it only for the project. This doesn't apply to information that is already public, was lawfully known beforehand, or must be disclosed by law. We're happy to sign a separate Non-Disclosure Agreement (NDA) if you need one. How we handle personal data is described in our Privacy Policy.

9. Warranties & Support

We'll perform our services with reasonable skill and care, in line with good industry practice. Unless the Project Agreement says otherwise, we'll fix bugs reported within 30 days of delivery that stop the deliverables from working as agreed, at no extra cost. Ongoing maintenance, updates, and new features after that are available under a separate support plan.

Apart from the above, the Website and services are provided "as is". We don't guarantee specific business results, such as search rankings, traffic, sales, or app store approval, because these depend on factors outside our control. We're also not responsible for problems caused by third-party services, changes made by you or others after delivery, or hosting we don't manage.

10. Limitation of Liability

To the extent allowed by law, Kyntix won't be liable for any indirect, incidental, special, or consequential losses, including lost profits, revenue, data, or business opportunities. Our total liability for any claim relating to a project or these Terms is limited to the amount you paid us for the specific services the claim relates to in the 6 months before the claim arose. Nothing in these Terms limits liability that can't be limited by law.

11. Indemnity

You agree to compensate and protect Kyntix against claims, losses, and costs, including reasonable legal fees, arising from content or materials you provided, your breach of these Terms, or your misuse of the deliverables or the Website.

12. Termination

Either party may end a project by giving written notice as set out in the Project Agreement, or with 15 days' written notice if it doesn't say. Either party may end it immediately if the other seriously breaches these Terms and doesn't fix the breach within 15 days of being told about it.

If a project ends early, you'll pay for work completed and expenses incurred up to the termination date. Advance payments cover work already done and aren't refundable. Once payment is settled, we'll hand over the completed work. Sections on intellectual property, confidentiality, liability, indemnity, and governing law continue to apply after termination.

14. Force Majeure

Neither party is responsible for delays or failures caused by events beyond its reasonable control, such as natural disasters, pandemics, war, government action, power or internet outages, or failures of third-party providers.

15. Governing Law & Disputes

These Terms are governed by the laws of India. If a dispute arises, both parties will first try to settle it in good faith through discussion. If it isn't resolved within 30 days, the courts at Mohali (SAS Nagar), Punjab, India will have exclusive jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Changes won't affect a Project Agreement already signed unless both parties agree. By continuing to use the Website after changes are posted, you accept the updated Terms.
